📜 Master Service Agreement (MSA)

Effective Date: Automatically activates upon service engagement or project commencement.

This Agreement governs all engagements with Calm Digital Laboratory (trading as thet.asia). By engaging our services, you accept all terms herein.

📋 Terms of Service

1.1 Nature of Engagement
Thet operates as an independent Calm Digital Laboratory – not a traditional agency. This engagement does not constitute partnership, joint venture, or employment.

1.2 Finite Engagement
All services are strictly One‑Time Delivery. No ongoing maintenance, retainers, or bundled support after project handover.

1.3 Zero‑Liability Advisory
Thet is not an executive proxy or fiduciary adviser. Clients must be Decision‑Ready and bear 100% accountability for local adaptation and deployment.

1.4 Content‑First Lock (SOP‑01)
Technical implementation starts only after 100% content and assets are formally submitted. No placeholders or incomplete data.

1.5 Hard Start & Zero Change‑Request
Once a project enters execution, the scope is immutable. No modifications, additions, or "small extras" – even with additional payment.

1.6 Google‑Only Infrastructure
All work is consolidated into a Google‑hosted environment (Drive, Docs, etc.). Configuration and preservation use mandatory designated accounts.

1.7 Engineering Environment
Development is executed on Apple MacBook Air M3 (macOS). Client may use any OS to access delivered systems.

1.8 48‑Hour Automated Purge
All project data and access credentials are permanently purged from Thet's internal systems 48 hours after handover.

1.9 Absolute Project Closure
Remediation is limited to critical anomalies within 48 hours. Beyond that, no further changes are processed.

1.10 Intellectual Property
Thet retains all rights to Base IP (architectural frameworks, source code logic, design templates). Client receives a non‑exclusive, non‑transferable license for internal business use only.

1.11 Limitation of Liability
Thet's liability terminates 48 hours after handover. Thet is not liable for third‑party service failures or post‑handover client modifications.

1.12 Content Indemnity
Client warrants all provided content complies with laws. Client indemnifies Thet against claims arising from that content.

1.13 Non‑Refundable Policy
All payments are final, non‑refundable, and non‑negotiable.

🔒 Privacy Policy

Data Collection
Thet collects only the information necessary to deliver services: name, email address, project details, and content assets provided by the Client.

Data Use
Information is used solely for project execution, communication, and billing. Thet does not share data with third parties except as required for service delivery (e.g., Google Workspace, payment processors).

Data Retention & Deletion
Project data is stored only during the active engagement. All client data is permanently purged from Thet's systems 48 hours after project handover, as per the MSA. Clients are solely responsible for backing up delivered files.

Cookies & Tracking
Thet's website and delivered systems use minimal essential cookies only. No third‑party tracking is employed.

Client Rights
Clients may request access to or correction of their data during the active engagement. After the 48‑hour purge, no data remains to be accessed.

🧑‍🏫 Coaching Agreement

Scope of Coaching
Coaching sessions are designed to provide Section‑by‑Section guidance for building and launching your digital presence. Sessions are tailored to the Client's specific project and pace.

Client Responsibilities
Client must come prepared with questions, materials, and a clear understanding of their desired outcomes. All coaching sessions are recorded (with Client consent) for internal quality and reference – recordings are deleted after the project's 48‑hour purge.

No Guaranteed Results
Coaching provides expert guidance, but success depends on the Client's execution. Thet does not guarantee specific business outcomes.

Confidentiality
Both parties agree to keep all coaching discussions confidential. Thet will not disclose Client's business information to third parties.

Cancellation & Rescheduling
Sessions may be rescheduled with 24 hours' notice. No‑shows are forfeited without refund.

💳 Refund Policy

All Sales Are Final
In alignment with the MSA's Financial Invariance, all payments are non‑refundable and non‑negotiable. This includes deposits, milestone payments, and full project fees.

Pay‑What‑You‑Want (PWYW) Purchases
For templates and mentorship, payments are voluntary and set by the Client. Once a payment is made, it is considered final and supports the continued development of ClamOffice resources.

Exception
No refunds are provided under any circumstances, including change of mind, project delays caused by Client, or failure to submit required content.

Chargebacks
In the event of a chargeback, the Client agrees to pay all associated fees and acknowledges that Thet reserves the right to terminate all access to delivered systems and services.
